Welcome to FluxForce.ai (“FluxForce,” “we,” “our,” or “us”).
These Terms and Conditions (“Terms”) govern your access to and use of our website, platforms, software, AI modules, APIs, documentation, and related services (collectively, the “Services”).
By accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms.
If you do not agree, you must not access or use the Services.
 

Scope of Services

FluxForce.ai provides enterprise-grade AI modules designed for regulated industries, including but not limited to banking, financial services, insurance, and high-risk supply chains.
Our Services may include:
  • Prebuilt AI modules and platforms
  • APIs, SDKs, dashboards, and analytics
  • Proof-of-concept deployments
  • Configuration, integration, and implementation support
  • Documentation, training materials, and support services
Specific commercial terms (pricing, SLAs, deployment scope, data handling) may be governed by a separate Master Services Agreement (MSA), Statement of Work (SOW), or Enterprise License Agreement (ELA).
In case of conflict, those agreements prevail over these Terms.
 

Eligibility and Authority

You represent and warrant that:
  • You are at least 18 years of age
  • You have the legal authority to bind the organization you represent
  • Your use of the Services complies with all applicable laws and regulations
FluxForce reserves the right to restrict or terminate access if eligibility conditions are not met.
 

Account Registration and Security

Where account creation is required:
  • You are responsible for maintaining the confidentiality of credentials
  • You are responsible for all activities under your account
  • You must promptly notify FluxForce of any unauthorized access or security breach
FluxForce is not liable for losses resulting from compromised credentials caused by user negligence or third-party actions outside our control.
 

Acceptable Use Policy

You agree not to:
  • Use the Services for unlawful, fraudulent, or malicious purposes
  • Attempt to reverse engineer, decompile, or extract source code
  • Circumvent security controls, rate limits, or access restrictions
  • Interfere with system integrity, availability, or performance
  • Use the Services to violate privacy, data protection, or financial regulations
Any misuse may result in immediate suspension or termination without notice.
 

AI Systems and Decision Responsibility

FluxForce’s AI modules provide decision-support and automation capabilities, not legal, financial, or regulatory advice.
You acknowledge that:
  • Final operational, compliance, and risk decisions remain your responsibility
  • AI outputs are probabilistic and context-dependent
  • Human oversight is required for regulated decisions
FluxForce does not guarantee regulatory approval, audit outcomes, or enforcement immunity.
 

Data Ownership and Responsibilities

Customer Data

You retain full ownership of all data you submit, upload, or process through the Services (“Customer Data”).
 

FluxForce Data

FluxForce retains ownership of:
  • Platform architecture
  • AI models and model weights
  • Algorithms, workflows, and orchestration logic
  • Aggregated, anonymized, and non-identifiable analytics

Data Processing

FluxForce processes data solely to deliver the Services and in accordance with:
  • Applicable data protection laws
  • Our Privacy Policy
  • Contractual data processing agreements (where applicable)

Confidentiality

Each party agrees to protect the other’s Confidential Information with the same degree of care used to protect its own, and not less than reasonable care.
Confidential Information includes:
  • Business, technical, and financial information
  • System architecture and security controls
  • Pricing, roadmaps, and non-public documentation
Confidentiality obligations survive termination.
 

Intellectual Property Rights

All intellectual property rights in the Services are owned by FluxForce or its licensors.
You receive a limited, non-exclusive, non-transferable, revocable license to use the Services solely for internal business purposes, subject to these Terms and any applicable agreement.
No rights are granted by implication.
 

Third-Party Services and Integrations

The Services may integrate with third-party platforms, data providers, or infrastructure.
FluxForce:
  • Does not control third-party services
  • Is not responsible for third-party outages, data accuracy, or security practices
  • Disclaims liability arising from third-party dependencies
Use of third-party services is governed by their respective terms.
 

Fees, Billing, and Taxes

Fees, billing cycles, and payment terms are defined in applicable commercial agreements.
Unless stated otherwise:
  • Fees are non-refundable
  • Taxes, duties, and levies are your responsibility
  • Late payments may result in service suspension

Service Availability and Modifications

FluxForce may:
  • Modify or update the Services
  • Add or remove features
  • Schedule maintenance windows
We aim for enterprise-grade availability but do not guarantee uninterrupted service unless contractually agreed.
 

Suspension and Termination

FluxForce may suspend or terminate access:
  • For breach of these Terms
  • For legal or regulatory reasons
  • To prevent security risks or harm
Upon termination:
  • Your license ends immediately
  • Access to Services is revoked
  • Data handling follows contractual obligations

Disclaimers

The Services are provided “as is” and “as available.”
To the maximum extent permitted by law, FluxForce disclaims all warranties, including:
  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness of AI outputs

Limitation of Liability

To the maximum extent permitted by law:
  • FluxForce shall not be liable for indirect, incidental, consequential, or punitive damages
  • Total liability shall not exceed the fees paid to FluxForce in the preceding 12 months
This limitation applies regardless of the legal theory asserted.
 

Indemnification

You agree to indemnify and hold harmless FluxForce from claims arising from:
  • Your misuse of the Services
  • Violation of laws or regulations
  • Breach of these Terms
  • Data you provide or process

Regulatory Compliance

You acknowledge that:
  • Regulatory obligations vary by jurisdiction
  • FluxForce provides tools, not regulatory guarantees
  • You remain responsible for compliance with applicable laws

Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict of law principles.
Courts located in Chandigarh, India shall have exclusive jurisdiction, unless otherwise agreed in writing.
 

Changes to These Terms

FluxForce may update these Terms periodically.
Continued use of the Services after changes constitutes acceptance of the revised Terms.
